Terms of Service

1. The deal
By creating a LedgerWell account, you agree to these terms. If you don't agree, don't use the product. Simple as that.
LedgerWell is operated by Forgewell, a division of Valmonte Digital Solutions, in Ontario, Canada.
2. What you get
A tool for collecting, organizing, and retrieving your financial paperwork — receipts, invoices, statements, contracts. The Free tier has document and account limits; paid tiers (Personal and Enterprise) lift them. Specific limits are listed on the pricing page.
3. Your account
You're responsible for keeping your login credentials safe. We strongly recommend enabling 2FA in Settings. If your account is compromised, we'll help you recover it, but we can't be held liable for actions taken with valid credentials.
One person, one account. Don't share logins. For team or client access, use the Enterprise mode's invite flow — that creates separately scoped accounts.
4. Acceptable use
Don't:
- Upload content that isn't yours or that violates someone else's rights.
- Upload illegal content, malware, or anything you wouldn't want stored in a financial archive.
- Try to break, probe, or reverse-engineer the service.
- Use LedgerWell to launder money, evade taxes, or facilitate fraud.
- Scrape, resell, or build a competing product using our APIs.
We reserve the right to suspend or terminate accounts that violate this section, with a refund of any unused subscription time.
5. Subscriptions & billing
Paid plans are billed monthly or annually in advance via Stripe. Prices are listed on the pricing page in USD.
- Cancel anytime from Settings → Billing. You keep access until the end of the current billing period.
- No partial refunds for partial periods, with one exception: if we materially break the product and can't fix it within 7 days, we'll refund the unused portion.
- Failed payments drop you to
past_duefor a 7-day grace period; we'll email you. After that, you revert to the Free tier and any paid-tier features stop working until billing is resolved. - Price changes get 30 days' notice by email. You can cancel before the new price takes effect.
6. Your data, your data
The documents you upload remain yours. We claim no ownership over your data and won't use it to train AI models for any party outside LedgerWell.
You can export everything as a ZIP from Settings → Export at any time, including after cancelling.
7. Account deletion
When you delete your account, we set a 30-day grace period during which you can restore it by emailing us or clicking the link in your deletion-notice email. After 30 days, everything is hard-deleted and unrecoverable.
We also reserve the right to delete dormant Free-tier accounts with no activity for 24+ months, after a 30-day email warning.
8. Enterprise mode
If you use Enterprise mode to manage clients on their behalf, you're responsible for:
- Having the legal authority to upload and process their financial documents.
- Telling your clients you use LedgerWell and what data passes through it.
- Honoring your clients' deletion or access requests in line with applicable law.
Invited client users have their own accounts and their own relationship with us under these terms.
9. No financial or tax advice
LedgerWell is a document-management tool. We are not your accountant, tax preparer, lawyer, or financial advisor. Anything the product shows you — totals, categories, summaries, AI insights — is for your reference only. Confirm with a qualified professional before relying on it for tax filings or business decisions.
10. Disclaimer of warranties
The service is provided "as is"without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We aim for high uptime but don't guarantee it.
11. Limitation of liability
To the maximum extent permitted by law, our total liability for any claim arising out of your use of LedgerWell is capped at the greater of (a) the amount you paid us in the 12 months before the claim, or (b) $100 USD.
We're not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost data, or business interruption.
12. Indemnification
You agree to indemnify and hold harmless Forgewell, Valmonte Digital Solutions, and our staff from claims arising out of your misuse of the service, your violation of these terms, or your violation of someone else's rights.
13. Changes to the service & terms
We may change the product over time — adding, removing, or modifying features. Material changes to these terms get 30 days' notice by email. Continued use after the effective date counts as acceptance.
14. Governing law
These terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict-of-law rules. Disputes will be resolved in the courts of Ontario, unless a consumer protection law in your jurisdiction grants you a stronger forum.
